Announcement of 2012 Dividend Payout

 UTair Aviation JSC announces the commencement of dividend payments

 on its ordinary registered shares  

UTAIR AVIATION JSC having its registered office in Russia, Tyumen Region, Khanty-Mansiysk Airport hereby notifies its shareholders about the commencement of dividend payments on its ordinary registered shares for the year 2012.

Dividends will be paid in the form of monetary funds. 

The dividend amount per 1 (one) ordinary registered share is 0,20 RUR. 

The shareholders entitled to dividend payment on ordinary shares are those included into UTair Aviation JSC Shareholder Register as of 13 May 2013 (as of the date of making a list of persons authorized to participate in the annual general meeting of UTair shareholders).  

Procedure of dividend payment to legal entities 

Dividends to shareholders being legal entities will be paid by the Company by wire transfer in accordance with the banking details stated in the UTair Aviation Shareholders Register or in the dividend payment application. 

If the accrued dividend amount is less than 20 RUR, the dividend payment will be made only upon the recipient’s application. 

Procedure of dividend payment to individuals 

Dividends to shareholders being individuals and employed by the Company as of the Register of Shareholders closure date will be paid via the Company’s pay offices or by wire transfer to the employees’ salary card accounts. 

Dividends to shareholders being individuals who are not employees of the Company will be paid by the Company’s Registrar, ZAO Surgutinvestneft, by wire transfer to the banking details or, if not available, by means of postal transfer to the address specified in the Shareholders Register. Postal transfer will be made according to the postal rates and fees being in force on the date of payment. If the dividend amount due to the recipient is less than 20 RUR, the dividend payment will be made only upon the recipient’s application. 

Procedure of dividend payment to shareholders whose shares are registered with the nominee shareholders 

Dividend payment to shareholders whose shares are registered with the nominee shareholders will be made by the Company by wire transfer in accordance with the banking details provided by the nominee shareholders. 

The shareholders should keep in mind that as per Article 44 of the Federal Law on Joint Stock Companies it is the shareholder’s responsibility to inform the Registrar about any changes of the shareholder's data. It is therefore recommended that all shareholders who change any data in their personal identification documents (change their passport because of the family name change or after reaching a definite age, change of residential registration address etc.) or change their bank details timely update their registration forms with the Registrar or at the depositary where the shares are registered. 

Payment of expenses 

Postal and banking fees are paid by the dividend recipient. The Company’s expenses for resending of the postal order which was not received by the dividend recipient due to their own fault are to be refunded by the dividend recipient. The respective amount is deduced from the dividend amount due to the recipient.   

No interests accrue on non-received dividends. Unclaimed dividends are stored for 3 years after the cessation of payment. 

The Company deducts the dividend tax from the dividend amounts due to the recipients and transfers this tax to the budget according to the applicable legislation of the Russian Federation.
